Job Description


Our Client is a budding Investment Society with offices in Portharcourt, Bonny and Abuja. 

Purpose

To manage our client's legal, compliance and communications towards ensuring and continually improve its Operations while engendering efficiency, effectiveness and due corporate governance. 

Reports to : Management Committee (Board) 

Location : Portharcourt - Rivers State 
 

Key Requirements 

  • To plan, develop and manage the implementation of strategies for effective Corporate Governance, Corporate Management System, Policies, Procedures and Compliance Programs and its subsidiaries to ensure synergy and enterprise-wide delivery of business objectives and compliance with all local, National & global standards and regulations.
  • Create relevant compliance metrics and reporting protocols to demonstrate the effectiveness of the Compliance Program, monitor and carry out compliance gap analysis/reviews/investigations and formulate strategies and tactics to ensure that all compliance gaps are continually addressed in order to manage business risk and prevent loss / reputational damage.
  • Develop, review and implement the legal framework; advice and support on investments, contracts, procurement,projects, business and other engagement of the towards creation and protection of shareholder value. Also, provide legal advice and strategic legal support to all business, programmes and projects.
  • To coordinate the provision of company secretariat support services and its subsidiaries to ensure smooth running of the respective Board and committee activities including Management committee meetings, General meetings, Annual General meetings and Extra-ordinary meetings. Ensure implementation of all administrative, logistics and welfare protocols pertaining to the respective meetings/engagements in order to engender efficiency, effectiveness and due corporate governance.
  • Report, track, monitor and follow-up to ensure prompt and effective implementation of agenda, agreements, resolutions, and corrective/preventive action emanating from all levels and operations of the including Management committee meetings, General meetings, Board Meetings and other stakeholder engagements.
  • Support MC in developing Internal/external Communications governance and protocol framework and create engaging communications to drive simplified understanding and appreciation of vision, strategy and business initiatives by leveraging new technology to develop unique products/new channels, tools and vehicles to increase and sustain two-way communications between Management committee, staff and members.
  • Lead the creation and continuous redefining process for corporate brand identification and brand promotion and its subsidiaries, ensuring the implementation of best-in-class brand strategies across the organization. Support the Management to manage stakeholder and public perception of image and reputation for the entire and subsidiaries, and advises on the most appropriate strategies for creating and sustaining goodwill for the Company and its subsidiaries.
  • Responsible for research, development of creative content, and commentaries in an excellent manner, write speeches and other communication materials for delivery by management, Board or designate at all internal and external engagements to ensure excellence and consistency in communication materials and media


Requirements


  • A Bachelor’s degree in Law (LL.B) 
  • 8 - 10 years’ post call to Bar experience with a minimum of 5 years’ experience in similar function in a reputable commercial/business organisation.
  • Experience in Corporate Governance, Ethics, Assurance Framework 
  • Corporate communications and Brand management is an added advantage
